Corporate / M&A:
– Advised a Swiss-Swedish multinational corporation active in robotics, power and automation technologies in the corporate reorganization of its Romanian entity through a reverse carve-out of the activity unrelated to the power-grid business.
– Assisted a German multinational automotive parts manufacturer with the restructuring of its Romanian entities as part of the global reorganization of the group, involving share transfers, business transfers and spin-offs.
– Assisted an Israeli global plastics manufacturer in the acquisition of a Romanian company in the same industry, including due diligence, drafting and negotiation of the share transfer agreement and transaction documents, as well as registration of the new shareholder.
– Counselled a chain of medical imaging and radiology clinics in the sale of a majority stake to a private equity fund and in establishing a strategic partnership for national expansion.
– Assisted one of the leading Romanian food industry players in the EUR 20.3 million acquisition of a company producing feed, one-day chickens and hatching eggs, covering all M&A aspects of the transaction.
Public Procurement:
– Provides day-to-day legal advice to a major Austrian construction company regarding the implementation of FIDIC agreements concluded with the Romanian National Company for Road Infrastructure Administration for the design and construction of – – major motorways and national roads, including:
- substantiation of contractors’ claims
- assistance during DAB procedures
- preparation of court proceedings.
– Advised a Spanish company specialized in turnkey energy projects on legal and contractual matters arising from a sectoral contract for the construction of a gas power plant in Transylvania.
– Assisted a Spanish contractor in disputes related to the implementation of a FIDIC contract for the rehabilitation of the runway of a major airport in south-west Romania.
– Advised a travel retail operator and distributor on participation in and structuring Master Concession public procurement projects in Romania, mainly in major airports and railway stations.
– Assisted a large international oil and gas company in matters related to sectoral procurement procedures.
