Mădălina Ivan

Mădălina has a significant experience of over 16 years in business law and she has been involved in complex M&A deals, capital markets projects, equity transactions, takeovers and restructuring processes.

She successfully advises national and international clients in various industries on all types of corporate procedures and actions, setting-up, implementing mergers/spin-offs plans and corporate restructurings, share capital increase and decrease procedures, day-to-day general assistance, project planning as well as dealing with licensing, compliance and regulatory matters.

Coordinating process of acquisitions of participations: drafting and negotiating transaction documents and providing legal assistance regarding pre- and post-signing procedures and implementation of the transactions.

Having a master degree in finance, she successfully provides legal assistance on a wide range of capital markets projects: private placements, IPOs, takeover bids, listing and delisting, squeeze-out procedures, corporate governance for listed companies, investors relations. She was involved in significant project such as: IPOs on Bucharest Stock Exchange of issuers activating in healthcare industry and beverages industry, in voluntary takeover bid followed by squeeze out of the minority shareholders of a company activating food industry and share capital increase and decrease procedures of issuer activating in agriculture field as well admission to trading on AeRo of different issuers.

Mădălina also advises on all aspects of employment law, having gained in-depth expertise in individual employment and collective labour matters, including sensitive matters in relation to lay-offs, restructuring, outsourcing or divestments, transfer of employees as well as in relation to employees’ benefits plan.

Mădălina has assisted clients from various industries such as: banking & finance, agriculture, fintech – crowdfunding, real estate, transport and logistics, food & beverages, healthcare, IT.
